Introduction
Welcome to Payora. These Terms of Service ("Terms") govern your access to and use of the Payora website, mobile applications, and services (collectively, the "Service"). Please read these Terms carefully.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.
Definitions
Throughout these Terms, we use certain terms with specific meanings:
- "Payora," "we," "us," and "our" refer to Payora and its subsidiaries and affiliates.
- "You" and "your" refer to the individual or entity accessing or using the Service.
- "Content" refers to text, images, photos, audio, video, and all other forms of data or communication.
- "User Content" refers to Content that users submit or transmit to, through, or in connection with the Service.
- "Payora Content" refers to Content that we create and make available in connection with the Service.
- "Third Party Content" refers to Content that originates from parties other than Payora or its users, which is made available in connection with the Service.
- "Service Content" refers collectively to Payora Content and Third Party Content.
Account Registration
To use certain features of the Service, you must register for an account and provide certain information about yourself as prompted by the registration form.
Eligibility
You represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into binding contracts;
- You are not a person barred from receiving services under the laws of Nigeria or other applicable jurisdiction; and
- You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the necessary authority to bind that business or entity to these Terms.
Account Security
You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under your account and any other actions taken in connection with your account. You must immediately notify Payora of any unauthorized use of your account or any other breaches of security.
Payora will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
Description of Services
Payora provides a platform for digital financial services, including but not limited to:
Payment Services
Payora enables you to send and receive money, pay bills, purchase airtime and data bundles, and make other payments. All payment services are subject to applicable laws and regulations, including anti-money laundering (AML) and know your customer (KYC) requirements.
Virtual Cards
Payora enables you to create and manage virtual payment cards for online transactions. Virtual cards are subject to limits and restrictions set by Payora and its service providers.
You agree to use virtual cards only for lawful purposes and in compliance with the card issuer's terms of service.
Gift Cards
Payora enables you to buy and sell gift cards from various merchants. Gift card transactions are final unless otherwise specified, and subject to the individual merchant's terms and conditions.
Payments and Fees
By using Payora, you agree to pay all applicable fees as set forth on our Service.
Fee Schedule
Fees for the use of various services are displayed within the Service interface before you complete a transaction. We reserve the right to change our fee structure at any time. Any changes to fees will be posted in the Service and will take effect when posted.
Payment Processing
Payment processing services are provided by our financial partners and are subject to their respective terms and conditions. By using our payment processing services, you agree to comply with those terms and conditions.
You authorize us to charge your designated payment method for any transactions conducted through the Service. We reserve the right to correct any errors or mistakes that we identify even if we have already processed your payment.
Refunds
All transactions on our platform are considered final once processed. However, refunds may be considered on a case-by-case basis according to our Refund Policy. We reserve the right to issue refunds at our sole discretion.
In the event of an unauthorized transaction or error, you should contact us immediately at support@payora.com.
User Responsibilities
As a user of our Service, you are responsible for:
- Providing accurate and complete information when creating an account and conducting transactions
- Maintaining the confidentiality of your account credentials
- Ensuring that your use of the Service complies with all applicable laws and regulations
- Promptly updating your account information if it changes
- Monitoring your account for unauthorized activities and reporting such activities to us immediately
- Ensuring you have sufficient funds in your account before initiating transactions
- Verifying transaction details before confirming any transaction
Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law
- Conducting fraudulent activities or misrepresenting yourself or your affiliation with any person or entity
- Attempting to circumvent any security features of the Service
- Using the Service to process transactions for third parties or acting as a payment intermediary or aggregator
- Using the Service for money laundering, terrorist financing, or other financial crimes
- Engaging in transactions involving items that infringe on the copyright, trademark, or intellectual property rights of others
- Using the Service to purchase or sell illegal goods or services
- Engaging in any activities that could damage, disable, overburden, or impair the functionality of the Service
- Collecting or harvesting user data without consent
- Uploading or transmitting viruses, malware, or other malicious code
Violation of these prohibitions may result in termination of your account, forfeiture of funds, and potential legal action.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Payora and its licensors. The Service is protected by copyright, trademark, and other laws of both Nigeria and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Payora.
You retain any copyright and other rights you already hold in User Content that you submit, post, or display on or through the Service. By submitting, posting, or displaying User Content on or through the Service, you grant Payora a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, translate, distribute, and display such content in connection with providing and promoting the Service.
Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Payora does not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Payora, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, Payora assumes no liability or responsibility for:
- Any errors, mistakes, or inaccuracies of content
- Personal injury or property damage resulting from your access to or use of the Service
- Any unauthorized access to or use of our secure servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, Trojan horses, or the like that may be transmitted through the Service by any third party
- Any content or conduct of any third party on the Service

You agree to defend, indemnify, and hold harmless Payora, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
Term and Termination
These Terms shall remain in full force and effect while you use the Service. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof (a "Dispute"), the parties shall first attempt to resolve the Dispute through good faith negotiations.
If the Dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the Dispute to mediation in accordance with the mediation rules of the Lagos Court of Arbitration. If the Dispute is not resolved within sixty (60) days after the appointment of a mediator, the Dispute shall be finally resolved by arbitration in accordance with the Lagos Court of Arbitration rules.
The seat of arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English. The number of arbitrators shall be one (1). The decision of the arbitrator shall be final and binding on the parties.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last updated" date.
Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, you must stop using the Service.
Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Payora regarding the Service and supersede all prior and contemporaneous written or oral agreements between you and Payora.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without our consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
Notices: Any notices or other communications provided by Payora under these Terms will be given by posting to the Service or via email to the address you provide to us.
No Agency: No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
